ONA INVEST TERMS OF USE

1. Introduction and purpose of the Terms

These Terms of Use, hereinafter referred to as the "Terms", constitute a legally binding agreement between any person accessing the Platform or using the Services, hereinafter the "User", and Ona Invest SpA, a company incorporated and registered under the laws of the Republic of Chile, hereinafter "Ona Invest".

Ona Invest makes available to Users a technology platform enabling, in particular, the presentation of Projects, as well as the issuance, acquisition, registration, tracking and, where this feature is available, the transfer of Shares linked to vehicles set up for the purpose of carrying out investment projects.

These Terms set out the rules applicable to accessing the Platform and using the Services.

By accessing the Services, creating an Account or using all or part of the Platform's features, the User declares that they have read, understood and fully accepted these Terms, in their own name or, where applicable, on behalf of the entity they represent.

Any User who does not accept these Terms must stop accessing the Services and refrain from any use of them.

2. Definitions

For the purposes of these Terms, the following terms, when capitalized, have the meaning assigned to them below.

"Shares" means the rights or instruments registered within the Ona Invest SAT that grant their holder the economic rights defined in the Share Agreement and the documentation applicable to the relevant Project.

"Schedules" means any additional contractual document expressly incorporated into the Share Agreement or these Terms.

"Target" means any company, business, activity or asset that is directly or indirectly the subject of an acquisition or investment transaction under a Project.

"Account" means the personal account created by a User on the Platform.

"Content" means any text, document, data, graphic element, image, audio or video content, software, file, information or other element accessible, published, created or transmitted through the Services.

"User Content" means any Content provided, published, transmitted or otherwise made available by a User in connection with the use of the Services.

"Share Agreement" means the agreement governing the acquisition, holding, economic rights and, where applicable, the transfer of Shares.

"Economic Rights" means exclusively the User's rights to receive the cash flows, distributions or other economic results generated by the relevant Project, in proportion to the Shares held and in accordance with the Share Agreement, its Schedules and the applicable Project Sheet.

"Project Sheet" means the document presenting the specific characteristics of a Project, including its structure, its Target, its main economic parameters, its identified risks and the specific conditions applicable to the relevant Shares.

"Platform" means the technological environment operated or made available by Ona Invest in order to provide the Services.

"Project" means any investment or acquisition transaction presented or administered through the Ona Invest SAT.

"Official Register of Holders" means the register maintained within the Ona Invest SAT for the purpose of recording the holders of Shares and the rights associated with them.

"Ona Invest SAT" means the technological, legal and operational system organized by Ona Invest for the issuance, registration, tracking and, where applicable, the transfer of Shares.

"Services" means all the services, features, interfaces, applications, APIs and other digital means offered by Ona Invest.

"Websites" means, in particular, the websites operated by Ona Invest, including onainvest.deals and hotels.onainvest.deals, as well as any other domain officially operated by Ona Invest.

"SPV" means any legal or investment vehicle specifically set up for the purpose of structuring or carrying out a Project.

"User" means any individual or legal entity accessing the Platform or using the Services.

3. Scope and access to the Services

The Services are offered through websites, applications, APIs and other digital media made available by Ona Invest.

They may also include certain interactions carried out through social networks, electronic communication services or platforms operated by third parties.

Certain features, Shares or Projects may be subject to additional conditions.

These additional conditions are communicated to the User when they become applicable and are incorporated into the contractual framework governing the relevant Service or Project.

In the event of a conflict between these Terms and a specific condition applicable to a feature or a Project, the document dealing most specifically with the matter concerned shall prevail.

4. Legal capacity and User eligibility

The User may only use the Services if they simultaneously satisfy the following conditions:

  • be at least eighteen (18) years of age;
  • have the legal capacity required to enter into legally binding contracts under the law applicable to them;
  • have satisfactorily completed the identity verification, background and regulatory compliance procedures required by Ona Invest, including KYC or KYB procedures;
  • not have been permanently excluded from the Services due to a serious breach of these Terms or fraudulent use of the Services; and
  • not be legally prevented from using the Services or acquiring the relevant Shares under applicable regulations.

Access to certain Projects, Shares or features may be subject to additional requirements, in particular due to the User's residence, nationality or location, territorial restrictions, regulatory rules or the specific characteristics of the Project.

Ona Invest may refuse, suspend or restrict access to all or part of the Services when this measure is reasonably necessary to comply with applicable regulations, to prevent operational, financial or regulatory risks, or to protect the integrity of the Ona Invest SAT.

Prior use of the Services or access to a Project does not confer any automatic right to access another Project or a specific feature.

5. Registration and Account

Access to certain features of the Services requires the creation of a personal Account.

Creating an Account allows the User to access the information and features made available within the Ona Invest SAT.

It does not, by itself, entail any acquisition of Shares and does not confer any economic or proprietary right related to a Project.

The User undertakes to provide accurate, complete and up-to-date information when registering and throughout the period of use of the Services.

It is the User's responsibility to update this information when necessary.

Ona Invest may suspend, restrict or close an Account when the information provided is incomplete, inaccurate, outdated or inconsistent, or when Ona Invest is unable to carry out the necessary regulatory checks.

5.1. Account security

The Account is personal.

The User is responsible for the confidentiality of their credentials, passwords and authentication methods.

The User must not allow a third party to use their Account or assign, sell, rent or make their Account available to a third party without Ona Invest's prior authorization.

The User must inform Ona Invest as soon as possible if they become aware of or suspect unauthorized access to their Account, a compromise of their credentials or any unusual activity.

Ona Invest may temporarily suspend an Account when fraudulent or unusual activity, or activity likely to compromise the security of the Account or of the Ona Invest SAT, is detected.

Subject to the mandatory provisions of applicable law and to acts directly attributable to Ona Invest, the User remains responsible for the consequences resulting from their failure to comply with the security obligations set out in this section.

5.2. Account closure and restriction

The User may request the closure of their Account through the communication channels made available by Ona Invest.

Where a User still holds Shares at the date of their request, Ona Invest may keep the Account in a limited or restricted state when this is necessary for the administration and registration of the Shares, for communication with the User or for the exercise of the rights and obligations associated with the Shares.

The closure, deletion or restriction of the Account does not extinguish, transfer or alter ownership of Shares previously acquired.

The exercise of certain Economic Rights, the receipt of communications relating to Projects or the execution of instructions may, however, be conditional on maintaining up-to-date information and on continued compliance with applicable regulatory requirements.

Ona Invest cannot be held liable for the impossibility of executing an instruction where this impossibility results from the User's failure to comply with their legal, regulatory or contractual obligations.

6. Electronic communications

Creating an Account implies acceptance of receiving electronic communications from Ona Invest.

These communications may be operational, contractual, legal or regulatory in nature and may be sent by email, directly through the Platform, or through any other electronic channel officially made available by Ona Invest.

Promotional communications are sent in accordance with applicable rules and the User's communication preferences.

The User acknowledges that electronic communications validly sent may constitute legally enforceable notifications within the limits permitted by applicable regulations.

It is the User's responsibility to keep their contact details up to date and to regularly check the communication channels associated with their Account.

7. Nature of the Shares

The Shares grant their holders the Economic Rights defined in the contractual documentation applicable to the relevant Project.

The User's economic participation in a Project is exercised exclusively through the Shares they hold.

Unless expressly stated otherwise in the Project documentation, the Shares do not constitute shares or equity interests directly issued by the Target company.

Nor do they constitute a debt instrument, a bank deposit, a guaranteed savings product, or a promise of repayment or a determined return.

The Economic Rights attached to the Shares depend, in particular, on the financial flows, performance, results and events affecting the Project, the SPV and, directly or indirectly, the Target.

The precise characteristics of each category of Shares are defined by the Share Agreement, its Schedules and the relevant Project Sheet.

8. Acquisition of Shares and Project documentation

Any acquisition of Shares is subject to the User reviewing and expressly accepting the contractual documentation applicable to the relevant Project.

This documentation may include, in particular, the Share Agreement, its Schedules, the Project Sheet and any other document expressly incorporated by reference.

The User must review these documents before confirming a transaction.

Unless otherwise specifically provided in the applicable documentation, an acquisition request only becomes final after:

  • confirmation of the transaction in accordance with the process provided by the Platform;
  • actual receipt of funds where payment is required;
  • satisfactory completion of the applicable regulatory checks;
  • satisfaction of any conditions specific to the Project; and
  • registration of the relevant Shares in the Official Register of Holders.

The mere initiation of a payment, reservation of Shares, or transmission of an instruction does not confer any final right to the Shares until the conditions applicable to the acquisition have been satisfied.

Ona Invest may refuse or suspend a transaction when it is required to carry out additional checks or when a transaction presents a legal, regulatory, operational or fraud-related risk.

9. Fees, commissions and costs

Use of the Services or the carrying out of certain transactions may give rise to fees, commissions or other costs.

These fees may in particular relate to the acquisition, administration or transfer of Shares, as well as to the use of certain Services.

Applicable fees are communicated to the User through the fee documentation, the Project Sheet, the Share Agreement or the relevant interface.

The User is informed of the fees applicable to a transaction before its confirmation where such fees are directly related to that transaction.

Ona Invest may modify its fee policy for future transactions or Services.

A change in fees cannot retroactively alter fees definitively applied to a transaction already carried out.

The User remains responsible for any taxes, levies or tax obligations personally applicable to them as a result of the acquisition, holding or transfer of Shares, or the receipt of Economic Rights.

10. Transfer of Shares and secondary market

Where the Ona Invest SAT allows the transfer of Shares between Users, this feature constitutes a mechanism for connecting parties and registering transfers in accordance with applicable rules.

Ona Invest does not guarantee the permanent existence of a secondary market, the presence of buyers or sellers, or the completion of a transaction within a specific timeframe.

The ability to offer a Share for transfer does not guarantee that a counterparty will agree to acquire it.

Any transfer may be subject to:

  • the conditions set out in the Share Agreement;
  • the operating rules of the Ona Invest SAT;
  • verification of the identity and eligibility of the parties;
  • applicable regulatory or territorial restrictions;
  • payment of applicable fees; and
  • any check reasonably necessary to prevent fraud, money laundering or other illegal activities.

Ona Invest may suspend, delay or refuse to register a transfer when the applicable conditions are not satisfied.

Unless a specific mechanism is expressly provided for in the Project documentation, prices proposed or agreed between Users do not constitute an official valuation of the Shares or of the Project.

A transfer only becomes final once it has been recorded in the Official Register of Holders in accordance with the rules of the Ona Invest SAT.

11. No financial advice or personalized recommendation

Ona Invest does not act as a financial or investment advisor, a securities broker, a discretionary portfolio manager, or a fiduciary, except where a specific capacity or activity is expressly indicated by Ona Invest in accordance with applicable regulations.

Access to the Services does not create any advisory relationship, management mandate or particular relationship of trust between Ona Invest and the User.

Ona Invest does not provide any individualized financial, legal or tax advice.

Project presentations, financial data, estimates, simulations, valuations, return projections and other economic or financial content are provided for general information purposes.

No information provided by Ona Invest should be interpreted as a personalized recommendation to acquire, hold or transfer a specific Share.

Unless expressly required by law, Ona Invest does not carry out any assessment of the suitability of a Project with regard to the User's personal, financial or tax situation.

It is up to each User to independently analyze the opportunities presented and to make their decisions according to their own judgment and at their own responsibility.

The User is encouraged to consult their own financial, legal or tax advisors whenever they consider it necessary.

12. Risks related to the Shares and the Projects

The acquisition and holding of Shares involve risks.

The User expressly acknowledges that they may lose part or all of the amounts invested.

No Project, Share or Economic Right benefits from a guarantee of capital, return or performance from Ona Invest, unless expressly and legally bindingly stated otherwise in the applicable documentation.

The risks may include, in particular, the following risks.

12.1. Risk of capital loss

The economic performance of a Target or a Project may be lower than forecast.

A Target, an SPV or a Project may encounter financial difficulties, undergo restructuring, cease operations or become insolvent.

These events may result in a partial or total loss of the economic value of the Shares.

12.2. Illiquidity risk

The User may not be able to transfer their Shares at the desired time or at a price they consider satisfactory.

The absence of a buyer may result in the Shares being held for an indefinite period.

12.3. Valuation risk

Valuations, NAVs, reference prices, estimates and indicators published on the Platform may be based on assumptions, models or information available at a given date.

They may differ significantly from the price obtained in an actual transaction or from the value actually realized upon liquidation of a Project.

12.4. Operational risk

The performance of a Project may be affected by the management of the Target, market conditions, competition, operating costs, recruitment difficulties, suppliers, customers or any other event affecting the relevant activity.

12.5. SPV-related risk

The User's Economic Rights may depend on the legal, financial and operational structure of the SPV.

Difficulties affecting the SPV may have an impact on the cash flows or distributions attached to the Shares.

12.6. Exchange rate risk

Where a Project, a Target, an asset or a financial flow is denominated in a currency different from the one used by the User, fluctuations in exchange rates may affect the economic value or the amount of distributions received.

12.7. Tax risk

The tax treatment of the Shares and the Economic Rights may vary depending on the User's residence, nationality or personal situation.

Tax regulations may change.

Ona Invest does not guarantee any particular tax treatment.

12.8. Regulatory and country risk

Projects may be affected by legislative, regulatory, political or economic developments in the relevant jurisdictions.

Such developments may change the operating conditions of a Target, the structuring of a Project, or the terms of cash flow distribution.

12.9. Distribution-related risk

No distribution is guaranteed.

The existence, amount, frequency and date of distributions depend, in particular, on the cash flows actually generated or received and on the financial, legal and operational conditions of the Project.

The User must invest only amounts whose partial or total loss is compatible with their own financial situation.

13. Regulatory risk and third-party providers

The Services, Projects and Shares are offered within a legal and regulatory environment that may evolve.

Any change in legislation or regulations, as well as any change in their interpretation by the competent authorities, may result in an adaptation of the Ona Invest SAT, the structuring of Projects, or the operational terms of the Platform.

Certain components of the Services rely on third-party providers, including technology solution providers, payment providers, identity verification services or financial institutions.

A change, unavailability or interruption affecting these providers may result in the limitation or suspension of certain features.

Ona Invest makes reasonable efforts to adapt the Services to applicable developments.

Adaptations made necessary by a legal or regulatory development do not, in themselves, constitute a contractual breach by Ona Invest.

14. Evolution of the Services and of the Ona Invest SAT architecture

Ona Invest may modify, update, reorganize, suspend or discontinue all or part of a Service, feature, interface or operational process.

Ona Invest may also change the legal, operational or technological architecture used to structure Projects.

Such changes may in particular involve the use of different holding or investment vehicles, issuing entities, contractual mechanisms or operational models.

Any change affecting Shares already duly recorded in the Official Register of Holders must, to the extent applicable, preserve the economic equivalence of the Economic Rights acquired by Users.

Subject to this equivalence and to applicable mandatory provisions, an adaptation of the Platform or its architecture does not automatically give rise to a right to compensation, early reimbursement, or termination of the Share Agreement.

15. User Content

Ona Invest does not claim any ownership right over User Content.

By making Content available through the Services, the User grants Ona Invest and its affiliated entities a non-exclusive, worldwide, royalty-free, transferable and sublicensable license, strictly limited to the needs of providing, operating, maintaining, securing and improving the Services.

This license notably authorizes Ona Invest to display, reproduce, process, store and ensure the technical distribution of the relevant Content.

User Content is not necessarily reviewed or approved beforehand by Ona Invest.

Unless expressly stated otherwise, it does not constitute official information from Ona Invest, a Project or an SPV.

Each User remains solely responsible for the Content they publish or transmit.

The User represents that they hold the necessary rights and authorizations and warrants that their Content does not infringe the rights of third parties or applicable regulations.

Ona Invest cannot be held responsible for a decision made by a User based solely on Content published by another User or a third party.

The User may request the deletion of their Content through the available features or by contacting Ona Invest.

Certain residual copies may be temporarily retained in backup or archiving systems for technical, regulatory or security reasons.

16. Intellectual property

Ona Invest and its licensors remain the holders of all rights, titles and interests relating to the Services and to the elements specific to them.

This notably includes the architecture, design, interfaces, functionality, databases, methodologies, visualization systems, software, trademarks, logos, graphic elements and Content developed by Ona Invest.

Subject to compliance with these Terms, Ona Invest grants the User a personal, limited, non-exclusive, revocable, non-transferable and non-sublicensable license to access and use the Services in accordance with their intended purpose.

Access to the Services does not entail any transfer of ownership or of intellectual property rights.

Unless expressly authorized in writing by Ona Invest, the User may not reproduce, distribute, exploit, integrate or commercialize the Services or the elements belonging to Ona Invest.

17. Third-party services

The Services may contain links to, or allow access to, services, social networks, platforms or tools operated by third parties.

The use of these services is subject to the terms and policies specific to their operators.

Ona Invest exercises no control over these external services and cannot be held responsible for their content, availability, functioning or practices.

18. User conduct and prohibited uses

The User undertakes to use the Services in a lawful, responsible manner and in accordance with these Terms.

In particular, it is prohibited to:

  • access data, systems, servers or Accounts without authorization;
  • probe, scan or test the vulnerability of the Services without authorization;
  • circumvent security or authentication mechanisms;
  • disrupt the operation of the Services, in particular by introducing viruses, overloading systems, flooding, or any similar technique;
  • transmit abusive, unsolicited or unauthorized communications;
  • falsify or manipulate identification information or technical data;
  • disassemble, decompile or reverse engineer the Services, except where expressly permitted by law;
  • use the Services in a manner that infringes the rights of a third party.

The User may not publish or transmit Content that:

  • infringes the intellectual property rights, privacy or image rights of a third party;
  • violates applicable regulations;
  • is fraudulent, misleading or deceptive;
  • is defamatory, violent, discriminatory or manifestly harmful; or
  • encourages or facilitates an unlawful activity.

Within the framework of the Ona Invest SAT, it is also prohibited to:

  • present oneself as a manager, issuer, advisor, agent or representative of Ona Invest without written authorization;
  • present as certain any guaranteed returns, official prices or binding projections;
  • manipulate or attempt to manipulate the operation of a transfer mechanism or secondary market;
  • carry out fictitious or simulated transactions;
  • misuse non-public information; or
  • communicate false or misleading information regarding the value, liquidity, risks or nature of the Shares.

19. Monitoring, verification and suspension measures

Ona Invest may, without being generally required to do so, review activities or Content accessible within the Services when such action is necessary for security, compliance with regulations or the enforcement of these Terms.

Ona Invest may remove or restrict access to Content, suspend a feature or restrict an Account when it has reasonable grounds to suspect a breach of these Terms.

Ona Invest may carry out any reasonably necessary check or investigation and cooperate with the competent authorities in accordance with applicable regulations.

Any breach may result in the restriction, suspension or closure of the Account, without prejudice to any other legally available measure.

20. Disclaimer of warranties

The Services are provided "as is" and "as available".

To the extent permitted by applicable law, Ona Invest does not guarantee the permanent availability, error-free operation or fitness for a particular purpose of the Services.

Certain information may come from third parties.

Ona Invest does not guarantee the accuracy, completeness or continued timeliness of all information accessible through the Services.

Ona Invest may correct any error, omission or inconsistency identified.

A correction does not, by itself, give rise to any right to compensation.

Ona Invest does not, in particular, guarantee:

  • the profitability or performance of a Share or a Project;
  • the existence of sufficient liquidity;
  • the existence of a counterparty for the transfer of Shares;
  • the existence, amount, frequency or date of a distribution;
  • the achievement of any projections, simulations or estimates;
  • the accuracy of an NAV or a reference price as an actual transaction value; or
  • compliance with the timelines or forecast results associated with a Project.

Any reference to a Project, manager, asset, provider, brand or service does not constitute an endorsement or guarantee by Ona Invest, unless expressly stated otherwise.

21. Limitation of liability

To the fullest extent permitted by applicable law, Ona Invest, its affiliated entities, directors, officers, employees, representatives and providers shall not be liable for indirect, incidental, consequential, special, exemplary or punitive damages resulting from the use of the Services.

This exclusion notably covers loss of revenue, profits, returns, economic opportunities, data or use, as well as business interruption.

It applies regardless of the legal nature of the claim and even where Ona Invest has been advised of the possibility of the damage concerned.

To the fullest extent permitted by applicable law, the total cumulative amount of Ona Invest's liability under any claim related to the Services shall not exceed the total amount actually paid by the User directly to Ona Invest for the use of the Services during the month preceding the triggering event or, if greater, two hundred and fifty United States dollars (USD 250).

The User may not hold Ona Invest liable solely on the grounds of the materialization of a risk inherent in a Project or a Share where that risk was clearly described in the applicable documentation and where the damage does not result from a breach attributable to Ona Invest.

Nothing in these Terms shall exclude or limit any liability that cannot be excluded under applicable law.

The limitations set out in this section shall not apply, in particular, in cases of fraud, willful misconduct, gross negligence or intentionally unlawful conduct directly attributable to Ona Invest.

22. Indemnification

To the extent permitted by applicable law, the User undertakes to indemnify and hold harmless Ona Invest, its directors, officers, employees and affiliated entities against any claims, penalties, losses, damages, liabilities, costs or reasonable expenses arising directly from:

  • fraudulent or unauthorized use of the Services by the User;
  • a breach of these Terms;
  • a violation of applicable regulations attributable to the User; or
  • an infringement of a third party's rights resulting from the User's Content or conduct.

23. Protection of personal data

The collection and processing of the User's personal data are governed by Ona Invest's Privacy Policy.

The Privacy Policy is available on Ona Invest's official Website and is incorporated into these Terms by reference.

It specifies, in particular, the categories of data collected, the purposes of processing, the terms of retention and protection of data, as well as the rights granted to data subjects in accordance with applicable regulations.

24. Reporting copyright infringements

Any person who believes that a work or protected content to which they hold the rights has been reproduced or published within the Services without authorization may inform Ona Invest.

The notification must be sent to: contacto@onainvest.deals.

The notification must contain the information reasonably necessary to enable Ona Invest to identify the content concerned and review the request.

25. Force majeure

Ona Invest cannot be held liable for any delay, interruption or failure to perform all or part of its obligations where such event results from a circumstance reasonably beyond its control.

Such circumstances may in particular include natural disasters, fires, armed conflicts, civil unrest, exceptionally large-scale cyberattacks, general failures of telecommunications networks, major disruptions to financial services, decisions by public authorities, or similar events.

Ona Invest will make reasonable efforts to limit the consequences of such an event and to restore the Services when reasonably possible.

26. Complaints and contact

Any question or complaint relating to the Services may be sent to Ona Invest at the following address:

The User is invited to provide the information reasonably necessary to identify their Account, the transaction or the relevant Project.

Ona Invest will review complaints in accordance with its internal procedures and applicable legal or regulatory obligations.

27. Modification of the Terms

Ona Invest may amend these Terms in order to ensure continuity of the Services, support their technological or operational evolution, incorporate new features, or comply with a legal or regulatory development.

Any amendment is brought to the User's attention by publication on Ona Invest's official Website or through the communication channels available on the Platform.

Unless otherwise stated, the new provisions take effect on the date indicated upon their publication.

Amendments may not substantially affect Economic Rights already acquired under Shares duly recorded in the Official Register of Holders, except with the User's consent where legally required, or where an amendment results from a legal or regulatory obligation or from an instruction of a competent authority.

In the latter case, Ona Invest will make reasonable efforts to preserve, to the extent possible, the economic equivalence of the rights concerned.

Continued use of the Services after the amended Terms take effect constitutes acceptance of them, within the limits permitted by applicable regulations.

28. Term, suspension and termination

These Terms take effect upon their acceptance by the User and remain applicable throughout the period of use of the Services.

They are entered into for an indefinite period.

The User may stop using the Services and request the closure of their Account in accordance with these Terms.

Ona Invest may suspend or terminate access to the Services in the event of a breach of these Terms, suspected fraud, a regulatory obligation, or where such a measure is necessary for the security or integrity of the Ona Invest SAT.

Termination of the relationship for the use of the Services does not automatically result in the extinction or transfer of Shares already held.

Provisions which, by their nature, must continue to have effect after termination of the Services remain applicable.

This notably includes provisions relating to existing Shares, Economic Rights, intellectual property, liability, indemnification and dispute resolution.

29. Hierarchy of contractual documents

In the event of a conflict or inconsistency between these Terms, the Share Agreement, the Schedules and the Project Sheet, the document dealing most specifically with the matter concerned shall prevail.

Any question relating to the acquisition, holding, transfer or valuation of the Shares, as well as to the Economic Rights attached to them, is governed primarily by the Share Agreement and the specific documentation of the relevant Project.

30. Governing law and dispute resolution

These Terms, their interpretation, validity and performance are governed by the laws of the Republic of Chile.

The parties will use reasonable efforts to amicably resolve any dispute arising from these Terms or the Services.

Failing an amicable resolution, any dispute will be submitted to the competent courts of the Republic of Chile, in accordance with the mandatory rules of territorial and subject-matter jurisdiction applicable.

Nothing in this section shall deprive a User of a mandatory right or remedy recognized under any mandatorily applicable law.

31. Entire agreement, severability and no waiver

These Terms, together with the Share Agreement, the Schedules, the applicable Project Sheet and any other document expressly incorporated by reference, constitute the entire contractual arrangement applicable between the User and Ona Invest with respect to the Services and the relevant Shares.

This arrangement supersedes any prior agreement, undertaking or communication on the same subject.

If a provision is found to be invalid, unlawful or unenforceable, it will be applied to the fullest extent permitted by applicable law.

The other provisions will remain in full force and effect.

Ona Invest's failure to exercise, or delay in exercising, any right does not constitute a waiver of that right.

Any waiver must be expressly made in writing and signed by a duly authorized representative of the party concerned.

32. No special relationship between the parties

Nothing in these Terms creates, or shall be construed as creating, a partnership, agency, joint venture, trust, representation or employment relationship between the User and Ona Invest.

The User is not authorized to bind Ona Invest or act on its behalf without prior written authorization.

33. Assignment and transfer of the Terms

The User may not assign, delegate or transfer these Terms or the rights and obligations arising from them without Ona Invest's prior written authorization.

Ona Invest may assign or transfer all or part of its rights and obligations in connection with a corporate reorganization, restructuring, merger, acquisition, or evolution of the Platform's legal or operational architecture.

Such a transfer must not, by itself, adversely affect the Economic Rights acquired by Users.

These Terms are binding on the parties as well as on their duly authorized successors and assigns.

34. Language version

These Terms may be made available in several languages to facilitate their consultation by Users.

The Spanish version of these Terms constitutes the reference legal version.

In the event of a conflict, divergence of interpretation or inconsistency between a translation and the Spanish version, the Spanish version shall prevail, within the limits permitted by applicable law.

35. Final provisions

The titles and headings used in these Terms are inserted solely to facilitate reading and do not affect the interpretation of the provisions.

Any reference to a law, regulation or legal provision includes, unless otherwise indicated, its applicable amendments and replacement texts.

Terms used in the singular may include the plural and vice versa where the context requires.

These Terms take effect as of July 11, 2026.
